These Terms of Service (the “Terms”) govern your access to and use of the services, websites, online platforms, class materials, communications, and related offerings provided by CanLearn Spanish Education Inc. (“CanLearn Spanish Education Inc.”, “we”, “us”, or “our”).

By accessing our website, registering for any class, purchasing any service, attending a lesson, or otherwise using our services, you agree to be bound by these Terms and by any policies referenced herein. If you do not agree to these Terms, you must not use our services.

These Terms are intended to be interpreted in accordance with the laws of Canada and, where applicable, the laws of the Province of Ontario.

2. Scope of Services

CanLearn Spanish Education Inc. provides Spanish-language educational services, including but not limited to:

  • Private Spanish tutoring;
  • Small group Spanish classes;
  • Corporate Spanish training;
  • Online live Spanish lessons;
  • Conversation practice sessions;
  • Spanish for travel and relocation;
  • Exam preparation support.

We may provide services in person, online, or through hybrid delivery models. Specific details such as schedule, duration, level, curriculum, and pricing may be set out in a registration page, invoice, agreement, quote, or other written confirmation.

We reserve the right to modify the format, instructor, lesson platform, or learning materials as reasonably required to deliver the services effectively.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and current registration and contact information;
  • Ensure that you are legally capable of entering into a contract in Canada or have valid parental/guardian consent if required;
  • Attend scheduled sessions on time and prepared for class;
  • Maintain respectful, lawful, and appropriate conduct toward instructors, staff, and other participants;
  • Use our platforms, materials, and communications only for lawful and authorized purposes;
  • Not record, reproduce, distribute, or share class sessions or materials without our prior written consent, except where expressly permitted by law;
  • Notify us promptly of any technical issues, accessibility needs, or changes to your contact information;
  • Comply with any additional policies, code of conduct, or platform rules communicated by us.

You are responsible for maintaining the confidentiality of any account credentials, login links, or access information provided to you. You are responsible for all activity conducted through your account or access link.

We may suspend or terminate access to services if we reasonably believe you have violated these Terms, engaged in abusive conduct, or created a risk to the safety, rights, or operations of others.

4. Payment Terms and Conditions

Unless otherwise stated in writing, all fees are payable in Canadian dollars (CAD). Prices may vary depending on the service type, class length, package, group size, level, and delivery method.

Payment terms may include one-time payment, recurring payment, deposit, or prepayment requirements. Where applicable, payment must be made by the due date stated on the invoice, checkout page, or written agreement.

  • Fees are due in full before the commencement of services unless otherwise agreed in writing;
  • Any deposit paid is applied to the applicable service fee unless otherwise stated;
  • Late or failed payments may result in suspension of services, rescheduling delays, administrative fees, or cancellation of bookings;
  • You are responsible for any charges imposed by your financial institution, payment processor, or currency conversion provider;
  • Taxes, including applicable federal or provincial taxes, may be added where required by law.

We may update our pricing at any time. Any price changes will not affect services already paid for unless otherwise expressly stated.

Promotions, discounts, and package rates may be subject to specific conditions, expiry dates, minimum purchase requirements, or non-transferability.

5. Cancellation and Refund Policy

Cancellation and refund rules may vary depending on the service purchased, the scheduling arrangement, and any written agreement. Unless a separate written policy applies, the following general rules govern:

  • Private lessons: Cancellations made with reasonable advance notice, as specified in the booking confirmation, may be eligible for rescheduling. Missed sessions or late cancellations may be charged in full.
  • Small group classes: Once a class term begins, missed classes are generally non-refundable and non-creditable unless required by law or agreed in writing.
  • Corporate training: Cancellations by the client may be subject to notice requirements, administrative fees, and payment for work already completed or scheduled.
  • Online live lessons: Technical issues on your side do not automatically entitle you to a refund if the lesson was otherwise delivered as scheduled.
  • Digital or downloadable materials: Once accessed, downloaded, or delivered, such materials are generally non-refundable to the fullest extent permitted by law.

Refunds, if approved, will be issued using the original payment method where reasonably possible, within a reasonable time. We reserve the right to deny refund requests that do not comply with these Terms or applicable service-specific policies.

Nothing in these Terms limits any non-waivable consumer rights that may apply under applicable Canadian or Ontario law.

6. Liability Limitations

To the fullest extent permitted by applicable law, CanLearn Spanish Education Inc. and its directors, officers, employees, contractors, instructors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of our services.

Without limiting the foregoing, we are not liable for:

  • Interruptions, delays, or failures caused by internet, telecommunications, software, or third-party platform issues;
  • Loss of data, loss of access, or unauthorized access to third-party systems;
  • Any outcomes related to language acquisition, exam performance, immigration, travel, employment, or business results;
  • Errors, omissions, or inaccuracies in user-submitted information;
  • Any conduct of another participant in a group class;
  • Events outside our reasonable control.

Our total aggregate liability for any claim arising out of or relating to the services shall be limited to the amount paid by you to CanLearn Spanish Education Inc. for the specific service giving rise to the claim, to the extent permitted by law.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for gross negligence, wilful misconduct, or other liability that may not legally be limited.

7. Intellectual Property Rights

All content, materials, lesson plans, worksheets, recordings, slides, logos, trademarks, text, graphics, and other intellectual property provided by CanLearn Spanish Education Inc. remain our property or the property of our licensors, unless otherwise stated in writing.

Subject to your compliance with these Terms and full payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the materials solely for your personal learning or, in the case of corporate clients, internal training purposes as agreed in writing.

  • Record live lessons, group sessions, or meetings;
  • Create derivative works based on our content;
  • Use our trademarks, branding, or materials for commercial purposes;

9. Force Majeure

We shall not be liable for any failure or delay in performing our obligations if such failure or delay results from events beyond our reasonable control, including but not limited to:

  • Severe weather;
  • Fire, flood, or natural disaster;
  • Power outage or internet failure;
  • Government action, public health emergency, or change in law;
  • Labour disruption or strike;
  • Cybersecurity incidents or platform outages not caused by our gross negligence or wilful misconduct;
  • War, civil unrest, or terrorism.

Where a force majeure event affects service delivery, we may reschedule, substitute delivery methods, suspend services temporarily, or issue credits or refunds where appropriate and required by law.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect operational changes, legal requirements, or service improvements. The updated Terms will be posted or otherwise made available to you, and the revised version will take effect on the date stated in the update or upon posting, unless otherwise required by law.

Your continued use of the services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the services.

11. Applicable Law and Jurisdiction

These Terms, the services, and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that the courts of Ontario shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the services, subject to any non-waivable rights you may have under applicable law.
